Terms of Service

This document constitutes a public adhesion contract. Beginning use of the Service signifies full and unconditional agreement with all terms of this Agreement.

1. General Provisions and Acceptance

This Agreement is entered into between the Administration of the studypal.academy platform ("Provider") and any individual ("User") accessing the Platform. Any interaction with the Site (registration, page viewing, creating lessons, taking tests) constitutes full and unconditional acceptance of this Agreement. If you do not agree with the terms, you must immediately cease using the Service.

2. Subject of the Agreement

studypal.academy is an informational educational platform providing technical capabilities for:

  • Creating educational materials, lessons, and tests by tutors.
  • Providing learners with access to lessons via special links.
  • Using integrated artificial intelligence to generate text and educational content.
  • Learners taking tests and tracking learning results.
  • Organizing the educational process and digital interaction between the tutor and the learner.

The Platform acts exclusively as a technological intermediary (providing tools) and is not a party to educational service agreements between Tutors and Learners.

3. Registration and Security

To obtain full access to the Services, the User undergoes a registration procedure:

Data Accuracy

The User agrees to provide truthful information. Misleading regarding identity (impersonation) is prohibited.

Access Security

The User bears full responsibility for the safety of login credentials (login/password). Actions performed under the account are deemed actions of the User themselves.

Liability

The Administration is not liable for damages caused by loss of access to the account due to the User's fault.

Compromise

In case of suspected account hacking, the User is obliged to immediately notify technical support.

Legal Capacity

The platform can be used by school-aged children. However, account registration for individuals under 13 (or 16 according to GDPR) is carried out exclusively by their parents or legal representatives, who bear full responsibility for the child's actions on the Platform.

Tutor's Responsibility for Learner Data

If a Tutor independently creates a profile for a learner and shares a link, the Tutor acts as the Data 'Controller' under GDPR. The Tutor guarantees that prior to creating the profile, they obtained explicit consent from the learner's parents or legal guardians to use the Platform.

Use Without Registration

Learners have the right to take tests or view materials without creating an account (in guest mode). In this case, the Platform does not store their personal data, but learning progress is not recorded in a Personal Account.

4. Conduct Rules and Prohibited Content

The User is strictly PROHIBITED from:

  • Using the Service for purposes violating Ukrainian legislation or international norms.
  • CSAM (Child Sexual Abuse Material): Posting any materials depicting child violence or exploitation. This will result in immediate blocking and reporting of data to law enforcement agencies.
  • Impersonating an Administration representative or another person.
  • Sending spam, unwanted messages, or phishing links to participants of the educational process.
  • Interfering with server operations, conducting DDoS attacks, or hacking attempts.
  • Using automated scripts (scraping) to collect data without written permission.
  • Using Service functionality for third-party commercial advertising without coordination.
  • Posting educational materials that violate the copyright of third parties.

Violation of these points gives the Administration the right to block the account without warning and without the possibility of recovery.

5. User Intellectual Property

Your Rights

The User retains all proprietary rights to their author's educational content uploaded by them.

Service License

By uploading content, you grant the Administration a non-exclusive, royalty-free, worldwide license to use, process, and display it exclusively to ensure the operation of the Service and provide access to your learners.

Warranties

You guarantee that your content does not violate third-party rights. All third-party claims regarding plagiarism or copyright are settled by the User independently.

Moderation

The Administration has the right (but not the obligation) to remove any content violating this Agreement.

Data Preservation

The Service is not a fail-safe cloud storage. The User is obliged to independently create backup copies of important lessons and materials.

7. Financial Terms and Delivery of Services

Payment procedures for paid Platform services and mutual settlements:

Paid Services for Tutors

Additional Platform functionality (premium access) is a digital service. Access activation is performed automatically upon receiving confirmation from the payment system. Technical processing time typically ranges from a few seconds to 15 minutes. In the event of a delay exceeding 1 hour, please contact support at info@studypal.academy.

Subscriptions and Recurring Payments

Payment for premium features for tutors may be processed as a monthly subscription (automatic billing). The User can cancel the subscription at any time in their Account settings. Cancellation stops all future payments, but funds for the already paid current month are not refundable.

Payment (Monobank)

Payment for paid Platform features is made via the secure Monobank widget. The Administration does not receive or store payment card data (PAN, CVV).

Refund Policy

Because studypal.academy provides access to digital functionality, refunds are possible within 7 (seven) calendar days from the moment of payment, provided the User has not begun actual use of the paid features. Once use begins (in accordance with digital services legislation), the service is deemed fully rendered, and funds are not refunded. The exception is a confirmed technical inability to provide the service due to our fault.

Mutual Settlements Between Users

The Platform DOES NOT participate in financial settlements between Tutors and Learners. Users independently agree on the cost of classes, payment methods, and terms outside the Platform. The Administration is not responsible for unpaid services or poorly conducted classes.

The Administration is not a financial institution and is not liable for errors in the operation of payment systems (issuing banks).

9. Disclaimer of Warranties (AS IS)

The Service is provided on an "AS IS" basis:

No Guarantees

The Administration does not guarantee uninterrupted operation, absence of errors, or full compliance of the Service with User expectations.

Technical Maintenance

Temporary interruptions in the Platform's operation are possible for preventive maintenance.

Artificial Intelligence

Content generated using AI is provided for informational purposes. The User is obliged to independently verify it for accuracy and factual correctness before using it in the educational process.

Disputes and Interaction

Disputes regarding the quality of education, schedules, or payments between Tutors and Learners (or their parents) are resolved by them independently.

11. Term and Termination

The Agreement is valid indefinitely from the moment of the first visit to the Site.

  • The Administration has the right to block access upon violation of the terms of this Agreement.
  • Service functionality may be changed or discontinued at any time.
  • The User may terminate the agreement by deleting their account.
  • Upon account deletion, data is depersonalized or deleted according to the Privacy Policy.

Account deletion is available in profile settings.

6. Administration Rights

All Platform objects (software code, design, studypal.academy logo, databases) are the exclusive property of the Provider and are protected by intellectual property legislation. Their use without written permission is prohibited.

8. Personal Data

Data processing procedures are regulated by the Privacy Policy.

  • Registration implies consent to personal data processing.
  • Data may be transferred to partners (Monobank, hosting, AI services) exclusively for providing services.
  • We take all measures for protection but cannot guarantee absolute security on the Internet.

10. Limitation of Liability

The Administration is not liable for any indirect damages, lost profits, data loss, or damage to business reputation. The Provider's liability is limited exclusively to real direct damages caused by guilty actions of the Provider, proven in court. Force majeure circumstances (war, natural disasters, power outages) exempt Parties from liability.

12. Amendments

The Administration has the right to unilaterally change the terms of this Agreement. The updated version enters into force from the moment of publication on the Site. Continued use of the Site signifies agreement with the changes.

13. Copyright and Complaints Handling

The Platform respects intellectual property. Lessons and materials are not indexed by search engines and are accessible only via direct links. However, if you discover that another user is illegally using your copyrighted content or behaving inappropriately, you may submit a complaint to info@studypal.academy. The Administration will review the request within 3 business days and reserves the right to remove the disputed content or suspend the violator's account.

14. Jurisdiction

This Agreement is governed by the legislation of Ukraine. All disputes that cannot be resolved through negotiations are considered in the courts of Ukraine at the location of the Provider.
